Plain English. No gotchas. Just the rules for using Extra Drive.
Short version: By using Extra Drive, you agree to these terms. If you don't agree, don't use the service. We'll always give you 14 days' notice before any material changes.
These Terms of Service ("Terms") constitute a legally binding agreement between you and Extra Drive ("Extra Drive", "we", "us", or "our") governing your use of the Extra Drive service, including the website at extradrive.net, the dashboard at workspace.extradrive.net, and the desktop and mobile apps (collectively, the "Service").
By creating an account or using the Service, you confirm that you are at least 13 years old (or 16 in the EU), that you have read and understood these Terms, and that you agree to be bound by them. If you are using Extra Drive on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Creating an account. You must provide accurate information when creating your account. You are responsible for keeping your account credentials secure and for all activity that occurs under your account.
One account per person. Each account must represent a single individual or organization. You may not create accounts on behalf of someone else without their permission.
Password security. You are responsible for choosing a strong password and keeping it confidential. Extra Drive will never ask you for your password via email, chat, or phone. Notify us immediately at [email protected] if you believe your account has been compromised.
Account activity. You are responsible for everything done through your account, including files uploaded, links shared, and team members added. If you authorize others to access your account, you are responsible for their actions.
You may use Extra Drive only for lawful purposes and in ways that don't violate these Terms. You agree not to use the Service to:
We reserve the right to investigate suspected violations and to suspend or terminate accounts that breach these rules without prior notice. Violations involving illegal content will be reported to the appropriate authorities.
Ownership. You retain full ownership of all files and content you upload to Extra Drive ("Your Content"). We claim no ownership rights over it.
License to operate the Service. By uploading content, you grant Extra Drive a limited, non-exclusive license to store, back up, sync, and transmit Your Content solely to provide the Service to you. This license ends when you delete the content or close your account.
We don't read your files. We do not access, review, or analyze the contents of your files except: (a) as necessary to provide technical support at your explicit request, or (b) when legally required by valid legal process.
Your responsibility. You are solely responsible for Your Content and for ensuring that you have the rights to upload and share it. Extra Drive is not responsible for content you upload or share with others.
Backups. While we take extensive measures to prevent data loss, Extra Drive is not a substitute for your own backup strategy. We are not liable for any loss of Your Content due to technical failures, though we maintain a 99.9% uptime SLA and multi-region redundancy to minimize this risk.
Free plan. The free plan is available at no charge with the features and limits described on our pricing page. We reserve the right to modify free plan limits with 30 days' notice.
Paid plans. Paid plans are billed monthly or annually in advance. Prices are listed on our pricing page in USD and are exclusive of applicable taxes. By subscribing, you authorize us to charge your payment method on a recurring basis.
Upgrades and downgrades. You can upgrade your plan at any time; the upgrade takes effect immediately and you are charged a prorated amount for the remainder of the billing period. Downgrades take effect at the end of the current billing period.
Cancellation. You may cancel your paid plan at any time from Settings → Billing. After cancellation, you retain access to paid features until the end of the billing period, after which your account downgrades to the free plan. Your files are not deleted.
Refunds. We offer a full refund within 30 days of your first payment on a new paid plan. After 30 days, we do not issue refunds for partial billing periods. To request a refund, email [email protected].
Failed payments. If a payment fails, we will retry up to three times over 7 days and notify you by email. If the payment remains unpaid, your account will be downgraded to the free plan. Your files will not be deleted, but some features will become unavailable.
Taxes. You are responsible for any applicable sales tax, VAT, or GST. Where required by law, we will collect and remit applicable taxes on your behalf and show them on your invoice.
We work hard to keep Extra Drive available at all times. We target 99.9% monthly uptime (approximately 44 minutes of downtime per month). Scheduled maintenance is performed outside peak hours with advance notice posted on our status page.
We do not guarantee that the Service will be available at all times. Extra Drive is not liable for any losses caused by downtime, but we will credit your account for outages that fall below our SLA — see our SLA page for details.
By you. You may delete your account at any time from Settings → Account → Delete account. Upon deletion, your files are queued for permanent removal and purged from our servers within 30 days.
By us. We may suspend or terminate your account immediately if you violate these Terms, particularly the Acceptable Use section, or if we are required to do so by law. For less severe violations, we will typically provide notice and an opportunity to remedy the issue before terminating.
Effect of termination. Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, liability, and disputes) will survive.
Data export. If your account is terminated by us for a policy violation, you have 7 days to export your data before it is deleted. If your account is terminated by you, the standard 30-day deletion window applies.
As-is service. The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability. To the maximum extent permitted by law, Extra Drive's total liability to you for any claims arising from or related to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
Exclusions. In no event will Extra Drive be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill, even if we have been advised of the possibility of such damages.
Indemnification. You agree to indemnify and hold harmless Extra Drive, its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Informal resolution. Before filing a formal dispute, please contact us at [email protected]. We will make a good-faith effort to resolve any issue within 30 days.
Arbitration. If informal resolution fails, disputes will be resolved by binding individual arbitration under the rules of the American Arbitration Association, conducted in English. You and Extra Drive waive the right to a jury trial or class action. This section does not apply to users in the EU, where applicable consumer protection laws provide additional rights.
EU users. If you are located in the European Union, you may also submit a dispute to the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
We may update these Terms from time to time. When we make material changes, we will notify you by email and display a prominent in-app notice at least 14 days before the changes take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you disagree with the changes, you may cancel your account before they take effect.
Minor, non-material changes (such as fixing typos or clarifying existing terms without changing their effect) may be made without notice.
